issuing bonus shares

The Board of Management and Supervisory Board of HORNBACH-Baumarkt-AG have
resolved to propose to the company's Annual General Meeting due to be held on
July 7, 2011 that the company's share capital should be increased by
€ 47,710,500.00 from € 47,710,500.00 to € 95,421,000.00 by issuing 15,903,500
new non-par bearer shares. If approved by the Annual General Meeting, the
capital increase would be executed by converting a portion of € 47,710,500.00 of
the revenue reserves reported in the company's annual balance sheet as of
February 28, 2011 into share capital. The new shares would be attributable to
ordinary shareholders at a ratio of 1:1, i.e. one new ordinary share would be
allocable for each existing ordinary share.
