Geneva, 29 January 2004 - SGS announces that it is in exclusive negotiations with the shareholders of Institut Fresenius Chemische und Biologische Laboratorien AG, Taunusstein, Germany, for the acquisition of 100% of its shares.

This agreement is subject to the completion of satisfactory due
diligence and clearance by the German Federal Cartel Office.

Founded in 1848, Institut Fresenius is a laboratory service provider
offering a broad range of chemical, biological and physical analyses
to its wide customer base. In addition it provides consultancy
services to the life science, food, consumer products, automotive and
multi-utility industries.

Institut Fresenius has over 570 employees in 19 locations in Germany
and had revenues in excess of Euro 47 million for the fiscal year

This acquisition is designed to strengthen SGS' position in Germany
